1. Definitions

• User / You: any individual or entity using the Services.
• Services: the website, applications, APIs, AI models, embeddings, GTM effectiveness prediction engine, and related functionality.
• User Content: anything you upload, input, or transmit via our Services, including GTM configurations, buyer personas, and prediction requests.

2. Access & Account Registration

• You must provide accurate, current information when registering.
• You are responsible for maintaining confidentiality of your account credentials.
• If you become aware of unauthorized use of your account, notify us immediately.
• You must be at least 13 years old (or older if required by local law) to use our Services.

3. Acceptable Use

You agree not to use the Services to:

• Violate any law or regulation.
• Infringe any third party's rights (IP, privacy, etc.).
• Transmit harmful, unlawful, hateful, defamatory, obscene, pornographic content.
• Upload or transmit viruses, malware, or other malicious code.
• Use the service to build a competing product or scrape our models (unless explicitly permitted).
• Abuse or spam other users or our systems.
• Attempt to reverse engineer, decompile, or extract our AI models or algorithms.
• Use automated systems to access the Services in a manner that exceeds reasonable use.

4. Intellectual Property

• All materials, models, code, content, and output provided through the Services are owned by us or our licensors, except for your User Content.
• You retain ownership of your User Content. By submitting it, you grant us license to use it in providing/improving the Services (including training/inference), subject to our Privacy Policy.
• Any suggestions, feedback, modifications you provide may be used by us without obligation or compensation.
• Prediction results generated by our Services are provided for your use but remain subject to these Terms.

5. Disclaimers

• The Services are provided "as is": no warranties of accuracy, reliability, or fitness for a particular purpose.
• We do not guarantee uninterrupted or error-free operation.
• We are not responsible for user consequences arising from AI-generated outputs (e.g. misuse, reliance errors).
• GTM effectiveness predictions are estimates based on AI models and should not be the sole basis for business decisions.
• We do not guarantee that predictions will be accurate or that they will result in desired business outcomes.

6. Liability & Indemnification

• To fullest extent permitted by law, we limit our liability: no liability for indirect, incidental, consequential, or special damages.
• You agree to indemnify, defend, and hold us harmless from claims arising from your use of the Services, your violation of these Terms, or your User Content.
• Our total liability for any claims shall not exceed the amount you paid us in the 12 months preceding the claim.

7. Payment & Subscription

• If there are paid tiers or subscription features: pricing, billing cycle, renewal, and refund policies will be specified at the time of purchase.
• Payment methods, taxes, and penalties for late or failed payment will be communicated separately.
• We reserve the right to change pricing with reasonable notice to existing subscribers.

8. Termination

• Either party may terminate your access at our discretion (e.g. breach of Terms).
• Upon termination, your rights to use the Services cease; some data may remain for legal or operational purposes.
• Provisions that survive termination: Intellectual Property, Indemnification, Liability, etc.
• You may delete your account at any time through your account settings.

9. Governing Law & Dispute Resolution

• These Terms are governed by the laws of the State of California, United States.
• Any disputes may be handled via courts in California, or via arbitration if mutually agreed.
• You waive any right to participate in class-action lawsuits or class-wide arbitration.

10. Changes to Terms

• We may modify these Terms. We will post updates to the Terms page and/or notify users.
• Use of Services after changes means acceptance of new Terms.
• Material changes will be communicated via email or in-app notification.

11. Miscellaneous

• Severability: If a part of these Terms is invalid, rest still apply.
• Assignment: We may assign these Terms; you may not without our consent.
• Notices: How we will communicate changes or notices (email/in-app).
• Entire agreement: These Terms, Privacy Policy, and any expressly referenced documents constitute the full agreement between you and us.
• Waiver: Failure to enforce any provision does not constitute a waiver.
